  • An application is only a request for ACC to evaluate a potential business relationship.
  • Approval, availability, pricing, advance rates, funding timing, credit limits, eligibility, and other terms depend on ACC’s review, verification, underwriting or approval procedures, documentation requirements, applicable customer or account eligibility, and the terms of any separate written agreement.
  • ACC may approve or decline an application or proposed transaction subject to applicable law and ACC’s contractual obligations.
  • Statements on the website concerning funding speed, rates, services, credit review, advances, or other product features are general descriptions and may not apply to every applicant, customer, invoice, broker, debtor, or transaction.
  • No statement on this website modifies or replaces a written factoring agreement or other written agreement executed by ACC and the applicable customer.

Governing Law

To the extent permitted by applicable law, these Terms and matters relating solely to the use of this website are governed by the laws of the State of California, without regard to conflict-of-law principles. A separate factoring agreement or other written agreement between ACC and a customer may contain different governing-law, jurisdiction, arbitration, or dispute-resolution provisions. Any such provisions control disputes governed by that separate agreement. These website Terms do not independently create an arbitration requirement or waiver of the right to a jury trial.

Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary. The remaining provisions will continue in effect.

No Waiver

ACC’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or ACC’s right to enforce it later.

Entire Agreement Regarding Website Use

These Terms and the Privacy Policy constitute the agreement between you and ACC concerning your use of this website. They do not replace, amend, supersede, or become part of a separate factoring agreement, guaranty, notice of assignment, funding agreement, service agreement, or other written agreement between ACC and a customer unless that separate agreement expressly states otherwise.
